1. Agreement to Terms

These Terms of Use form a binding legal agreement between you, individually or as a representative of an entity ("you", "your"), and ClayMetrics LLC ("ClayMetrics", "Company", "we", "us", "our"). By accessing or using the ClayMetrics website, web application, or any related services (collectively, the "Service"), you confirm that you have read, understood, and agree to these Terms of Use in their entirety. If you do not accept these terms, you must stop using the Service immediately.

We may revise these Terms of Use at any time by posting an updated version on this page. The "Last updated" date at the top will reflect when the most recent changes were made. Your continued use of the Service after any revision constitutes your acceptance of those changes. We recommend reviewing this page periodically.

The Service is intended for individuals who are at least 13 years old. If you are between 13 and the age of majority in your jurisdiction, you must have permission from a parent or legal guardian who has reviewed and agreed to these Terms of Use on your behalf.

2. About the Service

ClayMetrics is a web-based platform designed for clay shooting enthusiasts. The Service provides tools for live event scoring, performance analytics, weather condition tracking, and event management across disciplines such as trap, skeet, and sporting clays. Features and functionality may change over time as we develop and improve the platform.

3. Intellectual Property

All software, design, text, graphics, logos, and other materials available through the Service (collectively, "Service Content"), as well as any trademarks, service marks, or trade dress displayed on the Service (collectively, "Marks"), are the property of ClayMetrics or its licensors and are protected under applicable intellectual property laws. You may not reproduce, modify, distribute, display, or create derivative works from any Service Content or Marks without our prior written consent.

Subject to your compliance with these Terms of Use, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your personal, non-commercial purposes. All rights not expressly granted to you are reserved by ClayMetrics.

4. Account Registration

Use of the Service requires account registration. You agree to provide truthful and complete information when creating your account and to keep that information current. You are solely responsible for safeguarding your login credentials and for any activity conducted through your account.

We may, at our discretion, reject, reclaim, or reassign any username that we deem offensive, misleading, or otherwise inappropriate.

During beta or limited-availability periods, access to the Service may be restricted to holders of valid invite codes. Users placed on a waiting list will receive access as availability permits, at our sole discretion.

5. Fees and Payment

Certain features of the Service may require payment of fees. Current pricing is available within the Service or on our website. All fees are stated and payable in U.S. dollars.

Payment transactions are processed exclusively through a third-party payment provider. ClayMetrics does not directly collect, process, or store your payment card details, bank account numbers, or other financial account information. Such information is submitted directly to the payment provider and is subject to their own terms and privacy practices. We encourage you to review Stripe's privacy policy.

You are responsible for ensuring that your billing information is accurate and up to date. We reserve the right to modify our pricing at any time with reasonable notice, to correct pricing errors regardless of whether payment has already been collected, and to decline any transaction.

6. User Representations

By using the Service, you represent and warrant that:

  • All information you provide during registration and use of the Service is truthful, accurate, and current.
  • You will promptly update your information if it changes.
  • You have the legal capacity to enter into these Terms of Use.
  • You are at least 13 years of age, or, if under the age of majority, have obtained consent from a parent or guardian.
  • You will not access or interact with the Service through automated tools, scripts, bots, or other non-human methods.
  • You will not use the Service for any purpose that is unlawful or prohibited by these Terms of Use.

We reserve the right to suspend or close your account if any information you provide is found to be inaccurate, incomplete, or outdated.

7. Prohibited Conduct

You may only use the Service for its intended purpose. You agree that you will not:

  • Extract, scrape, or systematically download data from the Service to build any external dataset, directory, or competing product without our written authorization.
  • Harvest or collect email addresses, usernames, or other user information by any electronic or manual means for the purpose of sending unsolicited communications.
  • Bypass, disable, or tamper with any security feature, access control, or technical limitation of the Service.
  • Deceive, defraud, or mislead ClayMetrics or other users, including attempts to obtain sensitive account information.
  • Submit false support requests or fabricated reports of misconduct.
  • Deploy any automated system, including bots, crawlers, scrapers, or data-mining tools, against the Service without written permission.
  • Place an unreasonable or disproportionate load on the Service's infrastructure or connected networks.
  • Assume the identity of another user, person, or entity.
  • Transfer, sell, or otherwise assign your account or profile.
  • Use information obtained through the Service to harass, threaten, or harm any individual.
  • Use the Service or its content to operate a competing product or for any unauthorized commercial purpose.
  • Reverse-engineer, decompile, or disassemble any part of the Service's software or systems.
  • Attempt to circumvent any restriction, rate limit, or access control enforced by the Service.
  • Threaten, intimidate, or harass any ClayMetrics employee, contractor, or representative.
  • Remove, alter, or obscure any copyright, trademark, or proprietary notice within the Service.
  • Transmit any virus, malware, or harmful code through the Service, or engage in behavior (such as spamming or flooding) that degrades the experience for other users.
  • Damage the reputation or goodwill of ClayMetrics through false, misleading, or defamatory statements.
  • Use the Service in violation of any applicable local, state, national, or international law or regulation.

8. User Content

You retain ownership of the shooting scores, event information, profile data, and other content you contribute to the Service ("User Content"). By submitting User Content, you grant ClayMetrics a worldwide, non-exclusive, royalty-free license to store, process, display, and distribute that content as needed to operate and improve the Service.

Shooting scores and event participation are visible to other participants in your events. Your profile details, including your name and username, are visible to other users you interact with on the platform.

9. Feedback and Suggestions

Any ideas, suggestions, feature requests, or other feedback you submit to us ("Feedback") is provided on a non-confidential basis. By submitting Feedback, you grant ClayMetrics an unrestricted, perpetual, irrevocable, royalty-free right to use, modify, and incorporate that Feedback into the Service or any other product or purpose, without obligation of attribution or compensation to you.

10. Third-Party Links and Services

The Service may include links to external websites or integrate with third-party services that are not owned or operated by ClayMetrics. We do not review, endorse, or assume responsibility for the content, accuracy, practices, or policies of any third-party site or service. Accessing third-party links is at your own risk, and you should review their terms and policies independently.

11. Platform Administration

We reserve the right, but are not obligated, to: (a) monitor the Service for violations of these Terms of Use; (b) take legal action against individuals who violate applicable law or these terms; (c) restrict, limit, or remove any User Content that we determine, in our sole judgment, to be objectionable, excessive, or harmful to the Service's operations; and (d) manage the Service in whatever manner we deem necessary to protect our rights, our property, and the experience of our users.

12. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms of Use by reference. The Service is hosted in the United States. If you access the Service from outside the United States, you acknowledge and consent to the transfer and processing of your data within the United States.

13. Termination

These Terms of Use remain in effect for as long as you use the Service. We may, at our sole discretion and without prior notice or liability, suspend or terminate your account and access to the Service for any reason, including breach of these terms or applicable law. Upon termination, your right to use the Service ceases immediately.

If your account is terminated for any reason, you may not create a new account under your own name, an assumed name, or the name of any third party. We also reserve the right to pursue any available legal remedies in connection with a violation of these terms.

14. Service Changes and Availability

We may update, modify, or remove any aspect of the Service at any time without advance notice. We may also suspend or discontinue the Service entirely at our discretion. We accept no liability to you or any third party for any modification, suspension, or discontinuation of the Service.

We do not guarantee uninterrupted or error-free operation. Downtime may occur for maintenance, updates, infrastructure issues, or reasons outside our control. You acknowledge that we bear no responsibility for any inconvenience or loss arising from your inability to access the Service during any period of downtime. Nothing in these Terms of Use creates an obligation for us to maintain, support, or issue updates to the Service.

15. Governing Law and Jurisdiction

These Terms of Use are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute arising out of or relating to these terms or your use of the Service shall be brought exclusively in the state or federal courts located in the State of Florida, and you consent to the personal jurisdiction and venue of those courts.

Before initiating any formal legal proceeding, both parties agree to first attempt to resolve the matter through good-faith direct communication for at least thirty (30) days.

16. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT ALLOWED BY LAW, CLAYMETRICS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL OPERATE WITHOUT INTERRUPTION OR ERROR, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE IS FREE OF HARMFUL COMPONENTS. WE MAKE NO REPRESENTATIONS REGARDING THE ACCURACY OR RELIABILITY OF ANY CONTENT AVAILABLE THROUGH THE SERVICE, INCLUDING SCORES ENTERED BY USERS AND WEATHER DATA OBTAINED FROM THIRD-PARTY PROVIDERS.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEITHER CLAYMETRICS NOR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF REVENUE, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNTS YOU HAVE PAID TO CLAYMETRICS, IF ANY, DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT PERMIT THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH CASES, THE LIMITATIONS ABOVE SHALL APPLY TO THE GREATEST EXTENT PERMITTED BY LAW.

18. Indemnification

You agree to defend, indemnify, and hold harmless ClayMetrics and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising out of or connected to: (a) your use of the Service; (b) your breach of these Terms of Use or any representation you have made herein; (c) your violation of any third-party right, including intellectual property rights; or (d) any harmful conduct directed at another user of the Service. We reserve the right, at your expense, to assume exclusive control of the defense of any matter subject to your indemnification obligation, and you agree to cooperate with our defense of such claims.

19. Responsibility for Your Data

We maintain data that you submit to the Service in connection with your use of it. While we take reasonable measures to back up data, you bear sole responsibility for the content you transmit and the activities you conduct. ClayMetrics shall not be liable for any loss, corruption, or unauthorized access to your data, and you waive any claims against us arising from such events.

20. Electronic Communications

By using the Service and providing your email address, you consent to receive communications from us electronically, including account notifications, login links, and service announcements. You agree that electronic communications satisfy any legal requirement that such notices be delivered in writing. You further consent to the use of electronic records, signatures, and transactions conducted through the Service.

21. Corrections

Information presented on the Service may occasionally contain errors, inaccuracies, or omissions. We reserve the right to correct any such issues and to update Service content at any time without prior notice.

22. General Provisions

These Terms of Use, together with our Privacy Policy and any supplemental terms posted on the Service, constitute the complete agreement between you and ClayMetrics regarding the subject matter herein. If any provision of these terms is found to be unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the remaining provisions will continue in full effect. Our failure to enforce any provision of these terms does not constitute a waiver of that provision. We may assign our rights and obligations under these terms to any party at any time without notice. We are not responsible for any failure or delay resulting from causes beyond our reasonable control. No joint venture, partnership, employment, or agency relationship is created between you and ClayMetrics by virtue of these terms or your use of the Service.
